1. Preamble & Parties

This Creator Agreement ("Agreement") is entered into between RapierCraft Inc., doing business as AlterLab ("AlterLab," "we," "us," or "our"), and you ("Creator," "you," or "your") as a participant in the AlterLab Workflow Studio marketplace ("Marketplace").

This Agreement governs your participation as a Creator in the Marketplace, including your rights to publish, monetize, and maintain workflow listings ("Listings"). It supplements and is incorporated into our Terms of Service and Privacy Policy. In the event of a conflict between this Agreement and the Terms of Service, this Agreement shall prevail with respect to Marketplace participation.

By publishing a Listing on the Marketplace, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you may not publish Listings on the Marketplace.

Independent Contractor: Nothing in this Agreement creates an employment, partnership, agency, or joint venture relationship between you and AlterLab. You are an independent contractor and publisher. You have no authority to bind AlterLab in any way, and AlterLab has no authority to direct or control your business activities beyond the requirements set forth in this Agreement.

2. Creator Eligibility

To publish paid Listings on the Marketplace, you must meet all of the following requirements:

  • Maintain an active AlterLab account in good standing with no outstanding violations of our Acceptable Use Policy
  • Be at least 18 years of age, or the age of majority in your jurisdiction if higher
  • Have the legal authority to enter into binding contracts in your jurisdiction
  • Complete any identity verification and tax documentation required by AlterLab or applicable payment processors prior to receiving payouts
  • Not be located in a jurisdiction subject to applicable trade sanctions or export control restrictions that would prohibit receiving payments

AlterLab reserves the right to verify your eligibility at any time and to suspend or terminate your Creator status if you no longer meet these requirements.

3. Content Ownership & License

3.1 Creator Retains Ownership

You retain all intellectual property rights in the workflow logic, configurations, documentation, and other original content you create and publish as Listings ("Creator Content"). AlterLab does not claim ownership of your Creator Content.

3.2 License to AlterLab

By publishing a Listing, you grant AlterLab a non-exclusive, worldwide, royalty-free license to:

  • Host, store, reproduce, and distribute your Creator Content through the Marketplace and AlterLab infrastructure
  • Display the title, description, and preview information of your Listing to prospective buyers
  • Execute your workflow logic on behalf of purchasing users within the AlterLab platform environment
  • Use the title and description of your Listing for marketing and promotional purposes related to the Marketplace

This license continues for as long as your Listing remains published on the Marketplace and for a reasonable period thereafter to fulfill outstanding user access obligations.

3.3 Creator Warranties on Content

You represent and warrant that:

  • You are the original author of the Creator Content or have all necessary rights, licenses, and permissions to publish it
  • Your Creator Content does not infringe the intellectual property rights of any third party
  • Your Creator Content does not contain malicious code, unauthorized data collection, or any functionality designed to harm users or third parties
  • Publication of your Creator Content does not violate any applicable law or regulation

3.4 Feedback and Improvements

If you provide feedback, suggestions, or ideas regarding the Marketplace or AlterLab platform, you grant AlterLab a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.

4. Revenue Share & Commission

4.1 Commission Structure

AlterLab charges a platform commission on each paid Listing transaction. The current commission rate is 30% of the gross transaction value (the "Platform Fee"). You retain the remainder (the "Creator Revenue Share").

AlterLab reserves the right to modify the commission rate with at least 30 days' prior written notice to active Creators. The rate in effect at the time of a transaction applies to that transaction.

4.2 What the Commission Covers

The Platform Fee covers:

  • Payment processing fees (including third-party processor charges)
  • Marketplace hosting, discovery, and distribution infrastructure
  • Fraud prevention and buyer protection measures
  • Customer support for transaction and billing inquiries

4.3 Refunds and Chargebacks

If a transaction is subject to a refund approved by AlterLab or a chargeback initiated by a buyer, the corresponding Creator Revenue Share for that transaction will be reversed. AlterLab will deduct any reversed amounts from future payouts or recover them directly where permitted by applicable law.

5. Payout Terms & Schedule

5.1 Payout Schedule

Earned Creator Revenue Share is processed on a monthly basis, with payouts initiated within 30 days after the end of each calendar month in which transactions occurred, subject to the minimum threshold and verification requirements below.

5.2 Minimum Payout Threshold

A minimum balance of USD $25.00 (or equivalent) must accumulate in your Creator balance before a payout is initiated. Balances below this threshold carry over to the following month.

5.3 Payment Method

Payouts are processed via Stripe Connect. You must connect a valid Stripe account and complete all required Stripe identity verification steps before receiving payouts. AlterLab is not responsible for delays caused by Stripe's verification or processing requirements.

5.4 Currency

All Marketplace transactions and Creator balances are denominated in United States Dollars (USD). Currency conversion for payouts to non-USD accounts is handled by Stripe and subject to their applicable exchange rates and fees.

5.5 Tax Documentation

You are solely responsible for all taxes arising from revenue you earn through the Marketplace. AlterLab may be required to collect tax information or withhold taxes in accordance with applicable law. By participating as a Creator, you agree to:

  • Provide accurate tax documentation as required (e.g., W-9 for US persons, W-8BEN or equivalent for non-US persons)
  • Report and pay all applicable taxes in your jurisdiction
  • Comply with any applicable VAT, GST, or similar indirect tax obligations
  • Indemnify AlterLab for any tax liabilities arising from your failure to comply with applicable tax obligations

AlterLab may withhold payouts until required tax documentation is received. AlterLab will issue applicable tax forms (e.g., 1099-K for US creators meeting reporting thresholds) as required by law.

6. Creator Responsibilities

6.1 Listing Accuracy

You are solely responsible for ensuring that your Listing descriptions, titles, screenshots, and any other accompanying materials accurately represent the functionality of your workflow. Misleading or inaccurate descriptions constitute a material breach of this Agreement.

6.2 Workflow Functionality

You are responsible for the technical functionality of your workflow Listings. You must:

  • Ensure your Listings function as described at the time of publication
  • Update Listings promptly when upstream sources, APIs, or target websites change in a way that breaks functionality
  • Notify buyers of known limitations or breaking changes in a timely manner

6.3 Customer Support

You are the primary point of contact for buyers experiencing issues specific to your Listing's logic or configuration. You agree to respond to buyer-reported issues in good faith and within a reasonable timeframe. AlterLab provides platform-level support but is not responsible for issues arising from your workflow's content or configuration.

6.4 Compliance

Your Listings and their use must comply with:

  • AlterLab's Acceptable Use Policy
  • All applicable laws and regulations in your jurisdiction and those of your target users
  • The terms of service of any third-party websites or services your workflow interacts with
  • Applicable data protection and privacy laws with respect to any personal data your workflow may process

7. Platform Rights & Moderation

7.1 Right to Remove Listings

AlterLab reserves the right to remove, suspend, or delist any Listing at any time, without prior notice, for any of the following reasons:

  • Violation of this Agreement, the Terms of Service, or the Acceptable Use Policy
  • Receipt of valid intellectual property complaints or legal orders
  • Discovery of malicious functionality, data exfiltration, or unauthorized behavior
  • Determination that the Listing poses a risk to users, the platform, or third parties
  • Material inaccuracy in the Listing description that persists after notice to the Creator

No compensation is owed for Listings removed due to policy violations. AlterLab is not obligated to provide advance notice before removing a non-compliant Listing.

7.2 Platform-Not-Publisher

AlterLab operates as a platform that hosts and facilitates distribution of Creator Content. AlterLab is not the author, publisher, or producer of your Listings and is not responsible for their content, accuracy, or effects. You, as the Creator, bear sole responsibility for your Listings.

7.3 Marketplace Changes

AlterLab may modify, suspend, or discontinue the Marketplace or any features thereof at any time. In the event of discontinuation, AlterLab will endeavor to provide reasonable advance notice to active Creators and will process any outstanding earned balances subject to the minimum threshold requirements.

8. No Warranty on Scraped Data

The AlterLab platform provides infrastructure for web scraping and data extraction. By publishing Listings that interact with scraped data, you acknowledge and agree that:

  • Scraped data is retrieved from third-party sources beyond AlterLab's control and may be incomplete, inaccurate, outdated, or unavailable
  • Neither AlterLab nor you can guarantee the accuracy, completeness, reliability, or fitness for any particular purpose of scraped data
  • Target websites may implement anti-scraping measures that affect the availability or quality of data
  • Changes to target website structures may cause Listings to return unexpected or no results without prior warning

Your Listings are provided "as is" without warranty of any kind. You must not make representations to buyers that guarantee specific data accuracy, completeness, or availability. Any such representations must include clear caveats reflecting the inherent limitations of web scraping.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALTERLAB BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE MARKETPLACE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF REVENUE, OR LOSS OF GOODWILL, EVEN IF ALTERLAB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ALTERLAB'S TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT OF CREATOR REVENUE SHARE ACTUALLY PAID TO YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification: You agree to indemnify, defend, and hold harmless AlterLab and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (i) your Creator Content; (ii) your use of the Marketplace; (iii) your breach of this Agreement; or (iv) any claim by a buyer or third party related to your Listing.

10. Termination & Account Closure

10.1 Termination by Creator

You may remove individual Listings or close your Creator account at any time via the Workflow Studio settings. Removal of a Listing will not affect access for buyers who have already purchased it, unless the removal is required to address a security or legal issue.

10.2 Termination by AlterLab

AlterLab may terminate your Creator status and remove all associated Listings at any time for cause, including material breach of this Agreement, repeated policy violations, or fraudulent activity. AlterLab may also terminate the Marketplace program in its entirety with 30 days' written notice to active Creators.

10.3 Effect on Published Listings

Upon termination of your Creator account:

  • All published Listings will be delisted from the Marketplace and unavailable to new buyers
  • Buyers who have already purchased access will retain access to previously purchased Listings for any remaining access period, subject to AlterLab's discretion and technical feasibility
  • Any earned Creator Revenue Share meeting the minimum payout threshold at the time of termination will be processed within 60 days, subject to any outstanding chargeback holds, disputes, or legal obligations
  • Creator Revenue Share below the minimum threshold at the time of termination for cause is forfeited

10.4 Survival

The following provisions survive termination of this Agreement: Section 3 (Content Ownership), Section 8 (No Warranty), Section 9 (Limitation of Liability), Section 11 (Dispute Resolution), and Section 12 (Governing Law).

11. Dispute Resolution

11.1 Good Faith Negotiation

In the event of a dispute between you and AlterLab arising from or related to this Agreement, the parties agree to first attempt to resolve the dispute through good faith negotiation. You must contact AlterLab at [email protected] describing the dispute in reasonable detail. AlterLab will respond within 30 days.

11.2 Mediation

If the dispute is not resolved through negotiation within 30 days, either party may request non-binding mediation before a mutually agreed neutral mediator. The costs of mediation shall be shared equally between the parties unless otherwise agreed. Mediation is a prerequisite before either party may initiate formal legal proceedings, unless emergency injunctive relief is sought.

11.3 Arbitration

If mediation fails to resolve the dispute, any remaining controversy or claim shall be settled by binding arbitration in accordance with the arbitration rules of a mutually agreed arbitral institution. The arbitration shall be conducted in English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

11.4 Individual Claims Only

Any dispute resolution proceedings will be conducted on an individual basis only. You may not bring or participate in any class action, consolidated arbitration, or representative action arising from or related to this Agreement.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Delaware for the purpose of litigating all such claims or disputes.

If you are located outside the United States, you are responsible for compliance with local laws in your jurisdiction. Nothing in this Agreement limits the application of mandatory local laws that cannot be excluded by contract.

This Agreement constitutes the entire agreement between you and AlterLab with respect to your participation in the Marketplace as a Creator, and supersedes any prior agreements or understandings on that subject. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
